1. INTRODUCTION AND ACCEPTANCE

1.1 These Platform Terms of Use ("Terms") constitute a legally binding agreement between Tour Matrix AI Pte. Ltd. ("Tour Matrix AI", "we", "us", or "our") and you ("User", "you", or "your"), governing your access to and use of the Tour Matrix AI platform ("Platform"), including any associated websites, mobile applications, APIs, and services.

1.2 The Platform is a business-to-business (B2B) online marketplace that facilitates the listing, discovery, booking, and settlement of cross-border travel products and services between overseas travel agencies ("Outbound Travel Agencies") and Destination Management Companies ("DMC"). Tour Matrix AI acts solely as a technology platform provider and intermediary facilitator.

1.3 By registering for an account, accessing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Platform on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

1.4 If you do not agree to these Terms in their entirety, you must not access or use the Platform. Your continued use of the Platform following any modification to these Terms shall constitute your acceptance of such modifications.

1.5 These Terms shall be read in conjunction with any applicable Platform Service Agreement, Destination Management Company Agreement, or other written agreement executed between you and Tour Matrix AI (collectively, "Supplemental Agreements"). In the event of any conflict between these Terms and a Supplemental Agreement, the Supplemental Agreement shall prevail.

2. DEFINITIONS

2.1 The following terms, when used in these Terms with capitalised initials, shall have the meanings set out below:

"Account" means the registered user account created by you on the Platform, through which you access and use the Platform Services;

"AI Tools" means the artificial intelligence-powered itinerary planning, recommendation, and optimisation tools made available on the Platform, the use of which is governed by the Token system;

"Applicable Law" means all laws, statutes, regulations, ordinances, codes, rules, guidelines, and regulatory requirements applicable in Singapore, including without limitation the Personal Data Protection Act 2012 (No. 26 of 2012) ("PDPA");

"Booking" or "Order" means a confirmed transaction for the purchase of a product through the Platform;

"Content" means all text, graphics, images, photographs, videos, audio, data, software, and other materials uploaded, posted, transmitted, or otherwise made available on or through the Platform;

"Destination Management Company" means a local travel agency or ground service provider that lists and sells Products on the Platform;

"Force Majeure" means any event beyond the reasonable control of the affected Party, including but not limited to natural disasters, epidemics, pandemics, war, acts of terrorism, civil unrest, strikes, lockouts, government restrictions, internet service failures, and denial-of-service attacks;

"Intellectual Property Rights" means all patents, copyrights, trade marks, service marks, trade names, domain names, design rights, database rights, know-how, trade secrets, and all other intellectual property rights of a similar nature, whether registered or unregistered;

"Personal Data" has the meaning ascribed to it under the PDPA;

"Platform Services" means the services provided by Tour Matrix AI through the Platform, including but not limited to account management, product listing, booking facilitation, payment processing, AI Tools, and customer support;

"Product" or "Travel Product" means any travel-related product, service, package, or itinerary listed on the Platform by a Destination Management Company, including accommodation, transportation, guided tours, attraction tickets, dining arrangements, and other ancillary services;

"Token" means the pre-paid digital credit unit utilised to access and use the AI Tools on the Platform;

"Outbound Travel Agency" means an overseas travel agency registered on the Platform to browse, purchase, and manage travel Products for its customers;

"User Content" means any Content that you upload, post, transmit, or otherwise make available on or through the Platform.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Eligibility

To register for and use the Platform, you must: (a) be a duly incorporated company or legally registered business entity; (b) hold all licences, permits, and authorisations required to operate your travel-related business in your jurisdiction, including but not limited to a valid travel agent licence issued by the relevant regulatory authority (where applicable); (c) have the legal capacity to enter into binding contracts; and (d) not be barred from using the Platform under Applicable Law.

3.2 Registration Process

You must complete the Platform registration process by providing true, accurate, current, and complete information as prompted by the registration form. You must promptly update your Account information to ensure its accuracy at all times. Tour Matrix AI reserves the right to verify your registration information and to reject or suspend any registration at its sole discretion.

3.3 Account Credentials

You are responsible for maintaining the confidentiality of your Account credentials, including your username and password. You agree to: (a) use strong, unique passwords and enable multi-factor authentication where available; (b) not share your Account credentials with any third party; (c) immediately notify Tour Matrix AI of any unauthorised access to or use of your Account; and (d) ensure that you log out of your Account at the end of each session.

3.4 Account Responsibility

You are solely responsible for all activities that occur under your Account, whether or not authorised by you. Tour Matrix AI shall not be liable for any loss or damage arising from your failure to comply with the security obligations set out in this Section.

3.5 Account Transfer and Multiple Accounts

You may not transfer, sell, assign, or otherwise dispose of your Account to any third party without the prior written consent of Tour Matrix AI. You may not create or operate multiple Accounts without Tour Matrix AI's express written permission.

4. PLATFORM USAGE RULES

4.1 Permitted Use

You may use the Platform solely for legitimate business purposes related to the sourcing, booking, management, and sale of cross-border travel products and services. You agree to use the Platform in compliance with these Terms, Applicable Law, and all applicable industry standards and ethical guidelines.

4.2 Prohibited Conduct

You expressly agree not to, and shall not permit any third party to:

Use the Platform for any unlawful purpose or in any manner inconsistent with these Terms;

Use any robot, spider, scraper, crawler, data mining tool, or other automated means to access, monitor, copy, or extract data from the Platform without our prior written consent;

Circumvent, disable, or interfere with any security-related features of the Platform or features that prevent or restrict use or copying of Content;

Attempt to gain unauthorised access to any portion of the Platform, other user accounts, or any connected systems or networks;

Upload, transmit, or distribute any viruses, malware, worms, Trojan horses, or other harmful code;

Make fraudulent, speculative, or false Bookings, or cancel Bookings in a manner designed to manipulate Platform metrics or rankings;

Post, upload, or transmit any Content that is defamatory, obscene, unlawful, threatening, harassing, discriminatory, or otherwise objectionable;

Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;

Interfere with or disrupt the integrity or performance of the Platform or the data contained therein;

Use the Platform to compete with Tour Matrix AI or to develop a competing product or service;

Harvest, collect, or store Personal Data of other Platform users without their express consent; or

Engage in any conduct that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the Platform.

4.3 Content Standards

All User Content posted on the Platform must:

Be accurate, truthful, and not misleading in any way;

Not infringe upon the Intellectual Property Rights or other rights of any third party;

Comply with all Applicable Laws, including advertising standards and consumer protection regulations;

Not contain any confidential or proprietary information of any third party without proper authorisation; and

Be free from viruses, malware, and other harmful components.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Tour Matrix AI Ownership

The Platform and all Content provided by Tour Matrix AI, including but not limited to software, code, algorithms, databases, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and the compilation thereof, are the property of Tour Matrix AI or its licensors and are protected by Singapore and international Intellectual Property Rights laws. You acknowledge that you do not acquire any ownership rights in the Platform or Tour Matrix AI Content by using the Platform.

5.2 Trade Marks

"Tour Matrix AI", the Tour Matrix AI logo, and all related names, logos, product and service names, designs, and slogans are trade marks of Tour Matrix AI or its Affiliates. You may not use such trade marks without the prior written permission of Tour Matrix AI. All other trade marks, service marks, and logos displayed on the Platform are the property of their respective owners.

5.3 Limited Licence

Subject to your compliance with these Terms, Tour Matrix AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your internal business purposes in accordance with these Terms. This licence does not include any right to: (a) modify, adapt, translate, or create derivative works based on the Platform; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform; (c) rent, lease, lend, sell, redistribute, or sublicense the Platform; or (d) copy, frame, or mirror any part of the Platform without our express written consent.

5.4 User Content Licence

By posting, uploading, or otherwise making available any User Content on the Platform, you grant to Tour Matrix AI a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform such User Content in connection with the Platform and Tour Matrix AI's business operations, including for the purposes of promoting the Platform. You represent and warrant that you own or have the necessary rights, licences, consents, and permissions to grant this licence.

5.5 Feedback

If you provide any suggestions, ideas, comments, or other feedback regarding the Platform ("Feedback"), you hereby assign to Tour Matrix AI all rights, title, and interest in and to such Feedback, and Tour Matrix AI shall be entitled to use such Feedback without restriction or compensation to you.

6. DATA PRIVACY AND PROTECTION

6.1 Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy sets out how we collect, use, disclose, and protect your Personal Data and the Personal Data of your customers.

6.2 PDPA Compliance

Both you and Tour Matrix AI shall comply with the PDPA in respect of all Personal Data processed in connection with the Platform. You acknowledge that you are a data controller in respect of Personal Data that you collect from your customers, and Tour Matrix AI acts as a data intermediary for the purposes of transmitting such data to DMC in accordance with your instructions.

6.3 Customer Consent

You are solely responsible for obtaining all necessary consents from your customers for the collection, use, and disclosure of their Personal Data for the purposes of making Bookings and fulfilling travel itineraries through the Platform. You must provide your customers with a privacy notice that complies with the PDPA and accurately describes the purposes for which their Personal Data will be used.

6.4 Data Security

You shall implement and maintain appropriate technical and organisational security measures to protect all Personal Data in your possession or control against unauthorised access, disclosure, alteration, or destruction. You must promptly notify Tour Matrix AI in writing upon becoming aware of any actual or suspected data breach, security incident, or unauthorised access to Personal Data.

6.5 Cross-Border Data Transfer

You acknowledge and consent that Personal Data may be transferred to, stored, and processed in Singapore and other jurisdictions where Tour Matrix AI, its Affiliates, or its service providers maintain facilities. Such jurisdictions may have data protection laws that differ from those in your jurisdiction.

7. AI TOOLS AND TOKEN SYSTEM

7.1 AI Tool Availability

Tour Matrix AI may, at its discretion, make AI-powered itinerary planning, recommendation, and optimisation tools available on the Platform. The availability, functionality, and features of the AI Tools may be modified, enhanced, or discontinued by Tour Matrix AI at any time without prior notice.

7.2 Token System

Access to and use of the AI Tools is governed by the Token system. Tokens are pre-paid digital credits that are consumed when you use designated AI-powered features on the Platform. The Token cost for each AI operation will be displayed to you prior to execution, and you must confirm your willingness to expend the stated number of Tokens before the operation proceeds.

7.3 Token Purchase and Validity

You may purchase Tokens through the payment mechanisms provided on the Platform. All Token purchases are final and non-refundable except as required by Applicable Law or as expressly provided in a Supplemental Agreement. Tokens do not expire, provided your Account remains active and in good standing. Tokens are non-transferable and may only be used through the Account to which they were credited.

7.4 AI Output Disclaimer

You acknowledge that the AI Tools utilise machine learning algorithms and generative artificial intelligence technology. All outputs, recommendations, and itineraries generated by the AI Tools are provided "AS IS" for informational and planning purposes only. Tour Matrix AI does not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content. You are solely responsible for reviewing, verifying, and validating all AI-generated outputs before use, and for ensuring that any itineraries or recommendations are appropriate for your customers' needs and comply with all Applicable Laws.

7.5 No Reliance

You expressly agree not to rely on AI-generated outputs as a substitute for professional travel planning advice, legal advice, or your own independent judgment. Tour Matrix AI shall not be liable for any loss, damage, or liability arising from your reliance on or use of AI-generated content.

8. BOOKING, PAYMENT AND SETTLEMENT

8.1 Booking Process

The Platform facilitates Bookings between Travel Agencies and DMC. All Bookings are subject to: (a) these Terms; (b) the applicable Product description, inclusions, exclusions, and conditions as listed on the Platform; (c) the applicable cancellation and amendment policies; and (d) any Supplemental Agreement between the parties.

8.2 Payment Obligations

Travel Agencies must pay the full Booking amount in accordance with the payment terms specified on the Platform or in the applicable Supplemental Agreement. Failure to make timely payment may result in Booking cancellation, Account suspension, and applicable late payment charges.

8.3 Currency and Exchange Rates

The Platform supports transactions in Singapore Dollars (SGD) and Chinese Yuan (CNY). Where currency conversion is required, the Platform will apply the prevailing exchange rate displayed at the time of Booking confirmation. All currency conversions are final upon Booking confirmation, and you acknowledge that exchange rates may fluctuate.

8.4 Settlement

Tour Matrix AI facilitates the settlement of payments between Travel Agencies and DMC in accordance with the settlement schedule specified in the applicable Supplemental Agreement. Tour Matrix AI's role is limited to payment processing and remittance; Tour Matrix AI does not itself provide the travel products and services subject to each Booking.

8.5 Taxes

All amounts payable through the Platform are exclusive of applicable taxes, including but not limited to Goods and Services Tax (GST) and value-added tax. You are responsible for payment of all applicable taxes at the prevailing rate.

9. CANCELLATIONS, AMENDMENTS AND REFUNDS

9.1 Product-Specific Policies

Cancellation, amendment, and refund policies are determined by the applicable Destination Management Company and are displayed on the Platform at the time of Booking. Such policies may vary by Product, season, and service provider. You are bound by the specific policies applicable to each Booking.

9.2 Cancellation and Amendment Process

Requests for cancellations or amendments must be submitted through the Platform's order management functionality. All such requests are subject to approval by the applicable Destination Management Company and the applicable cancellation/amendment policy. Tour Matrix AI shall facilitate but does not guarantee the acceptance of any cancellation or amendment request.

9.3 Refunds

Refunds, where applicable, will be processed in accordance with the applicable cancellation policy and the settlement status of the Booking. Tour Matrix AI shall use commercially reasonable efforts to process refunds promptly, but the timing and amount of any refund may be affected by the Destination Management Company's refund policy, currency conversion rates, and any applicable administrative fees.

9.4 Force Majeure

In the event that travel cannot proceed due to Force Majeure events, the applicable Destination Management Company's Force Majeure policy shall govern. Tour Matrix AI shall facilitate communication between the parties but shall not be responsible for any losses arising from Force Majeure events.

10. DISCLAIMER OF WARRANTIES

10.1 Platform "AS IS"

THE PLATFORM AND ALL CONTENT, PRODUCTS, SERVICES, AND FEATURES MADE AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOUR MATRIX AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

10.2 No Guarantee

Tour Matrix AI does not warrant that: (a) the Platform will be uninterrupted, timely, secure, or error-free; (b) the results obtained from using the Platform will be accurate, reliable, or complete; (c) any errors in the Platform will be corrected; or (d) the Platform is free of viruses or other harmful components.

10.3 Third-Party Products and Services

Tour Matrix AI does not endorse, guarantee, or assume responsibility for any Product listed by a Destination Management Company on the Platform. All Bookings are made directly between the Outbound Travel Agency and the Destination Management Company. Tour Matrix AI is not a party to such transactions and shall not be liable for the quality, safety, suitability, or delivery of any Product, or for any act, omission, negligence, or default of any Destination Management Company.

10.4 No Travel Advice

The Platform and its Content are provided for general information and business facilitation purposes only and do not constitute professional travel advice, legal advice, or recommendations. You should seek independent professional advice before making any decisions based on information obtained through the Platform.

11. LIMITATION OF LIABILITY

11.1 Exclusion of Consequential Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOUR MATRIX AI, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF TOUR MATRIXAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOUR MATRIX AI TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES AND COMMISSIONS PAID BY YOU TO TOUR MATRIX AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) SINGAPORE DOLLARS ONE THOUSAND (SGD $1,000).

11.3 Mandatory Exceptions

Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under Applicable Law, including liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under the laws of Singapore.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Tour Matrix AI, its Affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms or any Supplemental Agreement; (d) your violation of any Applicable Law or the rights of any third party; (e) your collection, use, or disclosure of customer Personal Data in breach of the PDPA or these Terms; or (f) any negligent or wrongful act or omission by you or your employees, agents, or representatives.

13. MODIFICATIONS TO TERMS AND PLATFORM

13.1 Changes to Terms

Tour Matrix AI reserves the right, at its sole discretion, to modify, amend, or update these Terms at any time. We will provide notice of material changes by: (a) posting the updated Terms on the Platform with a revised "Last Updated" date; (b) sending an email notification to the email address associated with your Account; or (c) displaying a prominent notice on the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.

13.2 Changes to Platform

Tour Matrix AI reserves the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice. Tour Matrix AI shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

14. TERMINATION AND SUSPENSION

14.1 Termination by You

You may terminate your Account and these Terms at any time by contacting us in accordance with Section 16. Upon termination, you must immediately cease all use of the Platform.

14.2 Termination and Suspension by Tour Matrix AI

Tour Matrix AI may, at its sole discretion and without liability, suspend or terminate your Account and access to the Platform, with or without notice, for any reason, including but not limited to: (a) breach of these Terms or any Supplemental Agreement; (b) fraudulent, abusive, or illegal activity; (c) prolonged inactivity; (d) non-payment of fees; or (e) if we determine that your actions may cause legal liability to or otherwise harm Tour Matrix AI, other users, or third parties.

14.3 Effect of Termination

Upon termination or suspension of your Account: (a) your licence to use the Platform shall immediately terminate; (b) you must immediately cease all use of the Platform; (c) all outstanding Bookings placed prior to termination shall remain valid and be governed by these Terms and the applicable Supplemental Agreements unless otherwise agreed; (d) Tour Matrix AI shall remit all outstanding payments in accordance with the applicable settlement schedule; and (e) Sections 5, 6, 8, 10, 11, 12, 14.3, 15, and 16 shall survive termination.

14.4 Token Expiry on Termination

Any unused Tokens credited to your Account shall remain valid for a period of six (6) months from the date of Account termination, after which they shall expire without refund, except as otherwise provided in a Supplemental Agreement.

15. DISPUTE RESOLUTION

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles.

15.2 Good Faith Negotiation

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall first be referred to the senior management representatives of the parties for negotiation in good faith. The parties shall use their best endeavours to resolve the dispute amicably within thirty (30) days of written notification of the dispute.

15.3 Arbitration

If the dispute cannot be resolved through good faith negotiation within thirty (30) days, either party may refer the dispute to arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force. The seat of arbitration shall be Singapore. The Tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English.

15.4 Jurisdiction

Notwithstanding Section 15.3, either party may seek urgent interim or conservatory relief from the courts of Singapore, and the parties irrevocably submit to the exclusive jurisdiction of the courts of Singapore for such purposes.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any Supplemental Agreements, constitute the entire agreement between you and Tour Matrix AI regarding the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall continue in full force and effect.

16.3 Waiver

No failure or delay by Tour Matrix AI in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise of such right, power, or privilege.

16.4 Assignment

You may not assign, transfer, or novate these Terms or any of your rights or obligations hereunder without the prior written consent of Tour Matrix AI. Tour Matrix AI may assign these Terms to an Affiliate or in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets upon written notice to you.

16.5 Third-Party Beneficiaries

These Terms do not confer any rights or remedies upon any third party, except that DMC are intended third-party beneficiaries of Sections 8, 9, and 10 insofar as such sections relate to Bookings made through the Platform.

16.6 Relationship of Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, franchise, agency, or employment relationship between you and Tour Matrix AI. You are an independent contractor and shall not represent yourself as an agent, employee, or representative of Tour Matrix AI.

16.7 Electronic Communications

You consent to receive electronic communications from Tour Matrix AI, including notices, agreements, disclosures, and other communications. Tour Matrix AI may communicate with you by email or by posting notices on the Platform. You agree that all electronic communications satisfy any legal requirement that such communications be in writing.

16.8 Language

These Terms are executed in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.
